Thank you for considering Texoma Business Services (TBS). We want you to clearly understand the services we offer, so you can make informed decisions which best serve your interests. We strive to provide a level of service between “off the shelf” forms, and/or computer software, and the services of attorneys, CPAs, or other licensed professionals. This is to say, we help you do what you are legally allowed to do for yourself.

TBS is not a law firm, and does not employ attorneys. Therefore, we cannot provide legal assistance of any kind. Nothing we do should be considered to be a substitute for the advice of a licensed attorney. Although we provide assistance with completion of documents for filing with the Secretary of State, we cannot advise you about how to organize and operate your business. Forming, organizing, and maintaining a state chartered entity is a relatively simple process, but it does involve a learning curve. As with many things, what you don’t know can create problems for you later. You could study up online and learn what you need to do, but your time is valuable, spend it doing what you do best!

With almost twenty years of experience assisting others with business filings, we have acquired the knowledge and resources to be able  to assist small business owners with most of their entity filing needs.

We can also assist you with proper record keeping to satisfy state regulations.

*If you intend to develop a business that is publicly traded, we consider qualified legal counsel essential. Consulting with a CPA to understand the tax consequences of forming a business is equally important. We can still assist you with the filing and save you money, but you need to know what you are doing and why you are doing it before getting started.

Sure, but like we said above, its probably not the best use of your time and resources. Additionally, the first time you do anything you inevitably run into questions about what to do.

Most mistakes can be corrected, but corrections mean the hassle of potential delays, more of your time, and often additional fees.

After obtaining the necessary information from you, we will complete the paperwork necessary for filing your new business with the Secretary of State. Once the filing has been processed we will assist you with obtaining an Employer Identification Number (EIN) from IRS.

Once the EIN is obtained, we’ll provide you with everything normally needed to open a bank account. If your entity will elect to be treated as a Subchapter S corporation, we will assist you with that filing.

Unless you prefer to have an attorney assist you with the organization of your new business, we will assemble a generic company record book including corporate bylaws (or a company agreement), organizational minutes, certificates representing the interests of shareholders (or members), and a company seal which conforms to state regulations.

 

In most cases, your business can be up and running in two to three days. It may take up to two weeks to finish assembling everything and get your company book to you, but you can be operational quickly.

This assumes you are prompt in providing us with everything needed to complete the filing(s).

The state filing fee for a corporation or LLC in Texas is presently $300. To expedite filing we use a service in Austin which hand carries the filing to the Secretary of State. The expedited service adds $65 to the cost.

Depending on how much you want us to assist with the organization of the entity, our fee range is $150 – $535. Call for details.
